The rules relating to the maintenance of capital represent
the bedrock of company law. Yet, because of their apparent
complexity, these rules are often misunderstood or wrongly
applied. In this seminar, the Charles Russell team will demystify
the rules and take you through the essential fundamentals,
using practical and relevant examples. They will also provide
an update on the changes to the capital maintenance rules
brought about by the Companies Act 2006.
This seminar is aimed at in-house counsel, directors, company
secretaries and others engaged in a senior managerial position.

Glafkos
Tombolis, Partner, Corporate Finance
Glafkos' practice areas encompass private and public M&A
transactions, joint ventures, reorganisations and private
equity and venture capital transactions. In recent years,
Glafkos' practice has focused on the TMT sector and he has
advised numerous corporates, institutions and other intermediaries
in this field. Glafkos lectures regularly on company law matters
and has a particular interest in the law relating to corporate
governance and capital maintenance.
Tarlochan
Lall, Partner, Tax
Tarlochan specialises in tax planning for property transactions
and employee share schemes - their design and creation, implementation
and administration and their effect in connection with M&A
transactions. He is a Fellow of the Chartered Institute of
Taxation, member of the VAT Practitioners Group and the Share
Scheme Lawyers Group. Tarlochan is author of a chapter on
groups of companies in 'Tolleys Tax Planning' and has written
articles on deeds of covenant in favour of a charity, VAT
groups and on European Economic Interest Groupings.
Paddy
Buckley, Assistant, Corporate Finance
Paddy qualified at Clifford Chance in 2004 after spending
time in the London office and in Paris on secondment to major
client. He moved to Charles Russell in January 2006 as a member
of the corporate finance team. Paddy deals with all aspects
of corporate finance work, both public and private and domestic
and international. He specialises in mergers and acquisitions
and is also involved in general commercial work.
