Introduction
Drawing on its considerable depth of experience, our Corporate Finance Group is now pleased to offer selected corporate clients, bespoke Workshops on the key elements of M&A transactions.

The aim of the Workshops is to equip in-house counsel and the business teams of corporates that are routinely involved in M&A activity with the necessary tools to manage investments, acquisitions and disposals as effectively as possible.

Core subjects:
Acquisition structures
Tax optimisation
Auction sales
Approaching the target
Engagement letters
Antitrust analysis
Letters of intent/memoranda of understanding
Confidentiality agreements
Disclosure and due diligence
The acquisition agreement
Warranties and indemnities
Completion accounting and earn outs

Our Workshops
What marks our Workshops apart from conventional seminars or training is that they are interactive, intensely practical, inherently flexible in their subject matter, specifically tailored to the requirements of the client and, perhaps most importantly, are run by practising lawyers who are all engaged in the full spectrum of M&A activity. The flexible nature of the arrangements means that a Workshop can range from covering only core subject in considerable depth to covering all the core subjects – the client decides. We are happy to host our Workshops at your offices, or at our offices in London, Guildford, Cheltenham or Oxford.
