R v Suffolk Crown Court ex parte Suffolk Constabulary and ntl - leading judgment was obtained by the Charles Russell team establishing the rights and obligations of Internet Service Providers when faced with demands from police and other government bodies for access to email communications and other material held on servers.

 

 

Corporate Synergy plc - acted in relation to the £2.5 million placing for CMS Webview plc, an AIM listed company which provides software systems for real time financial data distribution and management.

 

 

Corporate Synergy plc - acted in relation to the placing of up to 10,000,000 shares in AIM listed iTrain plc, an e-learner software provider.

 

 

BCA - advised the UK's leading book club on the outsourcing of its telemarketing and customer services functions. BCA is wholly owned by Bertelsmann, one of the world's top media companies.

 

 

Canaccord Capital (Europe) Limited - acted on a £35 million placing and AIM listing of NETeller plc, the online money transfer service. On listing the market capitalisation of NETeller plc was £350 million.

Settlement of a claim by a software developer against a telecommunications company for a multi-million pound fee for software development whereby both parties secured an ongoing business relationship.

 

 

City & Guilds of London Institute - acted for this educational establishment on a multi-million pound agreement with Logica/SAP.

 

 

Advised a major telecommunications client in a joint venture with a software development business partner in relation to development of a schools intranet portal. Settlement in our client's favour included release of the source code to enable our client to develop the software.


 

Global soft drinks manufacturer - appointed by the UK franchisee and exclusive distributor of a multinational soft drinks company to conduct a major data protection compliance review of their UK businesses.

 

 

SimCorp Limited - acted in relation to the negotiation and drafting of an IT agreement relating to a project for the supply and implementation by SimCorp of its proprietary software to a leading asset management institution based in Abu Dhabi.

 

 

Major telecommunications company - advised this client in a dispute concerning the outsourcing of that client's entire IT structure and support. This outsource was, at the time, the largest such outsource of IT services and we led the client through a re-negotiation of that contract using dispute resolution methods. This result was a substantial reduction of cost for our client and secured an ongoing business relationship whilst avoiding litigation.

 

 

I (in liquidation) v T - I (a digital television platform) claimed significant sums in an action in the Technology and Construction Court for an alleged failure by T (our client) to build and develop the necessary structure and content for the supply of interactive television gaming. Our client brought a substantial counterclaim for loss of revenue. This matter was settled shortly before trial by way of a small payment of damages and taking of an equity interest.

 

 

Telecommunications provider of ISP services - acted for this client where virus activity had slowed service to point of a claimed breach of contract, and we successfully defended and defeated this claim.

 

 

Adventis Group plc - acted on this company's £3 million placing and AIM listing. The company is a full service, multi-media advertising and press relations agency specialising in the promotion of residential and commercial property and related services.


 

International Financial Data Services Limited - established the structure for the outsourcing of certain of IFDS's IT processing functions to Syntel of India. The deal signed in December 2004 with initial pathfinder processing functions starting the same month on behalf of IFDS's own financial services lead customers Gartmore, Schroders and M&G.

 

 

Daniel Stewart & Company plc (nominated adviser) and J.M. Finn & Co (as broker) - acted on the £3.5 million placing and AIM Admission of Business Direct Group plc. Business Direct is a developer and operator of an intelligent locker distribution system.
